These terms and conditions apply to the use of and the services available from the domain and sub-domains of readysteadyautos.co.uk.  In this Agreement, Ready Steady Sell Limited, all Ready Steady Sell associated companies, contracting parties, agents, affiliates, officers, directors, and employees are known as "we", "us" or "our" for the purpose of the services provided and made available through the domain and sub-domains of readysteadyautos.co.uk.  The readysteadyautos.co.uk domain and all sub-domains are known as “our website”, “the website”, “this website”, “our service”, “this service” or “the service”.  For the purpose of this Agreement, "content data" shall mean all information (if any) submitted by you, (the "User") to this website with the exception of personal information as explicitly described in the privacy agreement. 

We are committed to providing you with a pleasurable and positive experience, but there are also limits and risks that you should understand before participating.

Your use of our services is governed by the following terms and conditions.  Before you can become a member of this website, you must read and accept all of the terms and conditions in this agreement. You should read through all the terms and conditions carefully. This agreement constitutes a legally binding contract. 

Membership

You may not use this website or this website’s services if you are under the age of 16 or you are not able to form legally binding contracts under applicable law, or if your readysteadyautos.co.uk membership has been suspended or terminated.  Your full name, date of birth, postal address, email address and telephone number contact information is required on registration.

During the registration process you will choose a username and password. You are responsible for the use of this username and account. Your username will be used to identify you and your use of the site and can be seen by other users.  It is your responsibility to ensure that passwords are kept safe and not passed on to others. Your username, password and account are to be used by yourself only. It can not be sold or given to another person.

Fees

Joining readysteadyautos.co.uk and bidding on listed items is free.  We do not charge any “end of auction” or “final value fees”.  We do charge fees for using other services, such as listing an item. When you list an item or use a service that has a fee you have an opportunity to review all fees via the site fees link at the bottom of the website.  By accepting these terms and conditions you agree to the fees as set out in the site fees link.  We may from time to time make changes to the policy, which are effective after we provide you with at least fourteen days' notice of them by email or by posting the changes on the website.  We may choose to temporarily change the fees for our services for promotional events (for example, happy hour) or new services, and such changes are effective when we post the temporary promotional event or new service on the website.

Collection of fees

Unless otherwise stated, all fees are quoted in GB pounds sterling. Most users of the website will be required to pay all fees before you can post an item.  For users that are not required to do this, you are responsible for paying all fees and applicable VAT charges and any taxes associated with using our sites and services in a timely manner with a valid payment method.  You agree that we may issue you with invoices in electronic format by email. You agree to pay all invoices within 7 days of issue.  If your payment method fails or your account is overdue, we may collect fees owed using other collection mechanisms. (This includes charging/deducting the amount from any payment methods on file with us and retaining collection agencies and legal counsel for accounts over 120 days overdue).  If your account is overdue by more than 90 days, an administration charge of £60 will be added to your account.  If we decide to take action to collect the outstanding monies, you will be responsible for any costs incurred, including but not limited to debt collection charges, in additional to all other amounts that you owe.

Conduct

By joining and accepting these terms and conditions you agree to allow all personal information that you provide to be made available to your trading partner(s). This will include (but is not limited to) your full name, email address, postal address and phone number.

If you receive other members contact information you agree to use this in relation to matters relating to the readysteadyautos.co.uk transaction only. Such information must not be added to or sold on as mailing lists for Spam email or other such unsolicited activity. You should use this information in accordance with applicable laws including, without limitation, data protection and privacy laws. Further you must respect your trading partner and respond to their request should they ask you to remove their details from your records after a transaction is complete.

You are solely responsible for the contents of your transmissions through readysteadyautos.co.uk. You must ensure that your participation in the selling or buying of items does not violate any applicable laws or regulations. By this we mean that you must check that you are entitled to sell or buy the relevant item and that you are not prohibited from doing so by any law or regulation. In particular, you may not sell or buy any item which requires a written contract, which is illegal, which requires a licence to buy or sell (for instance firearms, alcohol or pharmaceutical drugs) or which requires you to obtain an export licence. 

You must not manipulate the price of any item or interfere with other user's listings. You must not post, list or upload content or items in an inappropriate category or areas on our site, breach any laws, sell any illegal, stolen or counterfeit items or otherwise infringe or break the copyright or trade mark rules or breach privacy or any other rights.  You must abide by all local (and any other applicable) laws. 

You must give a full and true description of the item. Once a listing goes live on the website any listing fees will be deemed chargeable. Once you have started a live listing you agree that you do not have the rights to a refund under the Distance Selling Regulations Act 2000 or similar local Acts.

A seller is committed to selling the item as soon as a bid is either placed via “buy now” or an item has been won with a value over the “reserve bid” on a standard auction.

You must not bid on an item that you are selling yourself, or ask others to bid on an item that you are selling to falsely increase the price. We may investigate bidding patterns in such cases.

When you make a successful over reserve price bid or you choose to “buy now” you are legally bound to complete the transaction with the seller. The conditions of the sale are between yourself and the seller and reference should be made to their item description. As a buyer you must be in a position to fund your purchase.

You must not transmit through the service any unlawful, false, inaccurate, misleading, defamatory, harassing, libellous, abusive, disrespectful, threatening, harmful, offensive, vulgar, obscene or otherwise objectionable material in any way.

You must not transmit any material that encourages conduct that could constitute a criminal offence, give rise to civil liability or otherwise violate any applicable law or regulation.  You must not use profanity within any context or show any obscene pornographic images.

You must not take any action that may undermine the reputation, review or ratings systems (including but not limited to; displaying, importing or exporting information to any other websites or for using it for purposes unrelated to readysteadyautos.co.uk).

It is prohibited to use any methods to send or post spam to drive visitors to your site hosted on or through the readysteadyautos.co.uk system, whether or not the messages were originated by you, under your direction of a related or unrelated third party.  You must not distribute or post spam, chain letters, or pyramid schemes; distribute viruses or any other technologies that may harm readysteadyautos.co.uk, or the interests or property of readysteadyautos.co.uk users.  You must not copy, modify, or distribute content from readysteadyautos.co.uk or harvest or otherwise collect information about users, including email addresses, without their consent.  You must not add other readysteadyautos.co.uk users, even a user who has purchased an item from you, to your mailing list (email or physical mail) without their consent.  You must not copy, reproduce, modify, create derivative works from, distribute, or publicly display any content from readysteadyautos.co.uk (that you do not implicitly own) without the prior expressed written permission.

You must not take any action that imposes or may impose an unreasonable or disproportionately large load (at our discretion) on our infrastructure.  You must not interfere or attempt to interfere with, cause damage to or attempt to cause damage to the proper working of our websites or any activities conducted on our website.  You must not use any robot, scraper or spider to access the website without permission. You must not bypass any measures we may use to prevent or restrict access to our sites, or any other security measures that we have in place.

Business Use

Business members (users) should resister as a business not an individual.  If you are registering with readysteadyautos.co.uk as a business entity, you represent that you have the authority to legally bind that entity. If you are trading as a business on readysteadyautos.co.uk, you must comply with all applicable laws relating to online trading. We will ensure that all items that are uploaded to the site are clearly marked as being from a user (seller) that has registered as a business or an individual.  Businesses selling on-line are subject to specific legal obligations, laws directives and regulations. It is the members (users) responsibility to know whether or not they should be trading as a business and if so, it is the members (users) responsibility to ensure that they are abiding to all applicable laws, directives and regulations. 

General Terms of Use

You acknowledge that we are not an auctioneer. Our website acts as an on-line market place to allow for person to person trading, providing advertising space on web pages on a computer network. At no point do we have possession of anything listed or sold through readysteadyautos.co.uk.  We do not review members (users) listings or content and are not involved in the actual transaction between buyers and sellers, as a result, we have no control over the quality, safety or legality of the items advertised the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to buy items. We can not and do not control whether or not sellers will complete the sale of items they offer or buyers will complete the purchases of items they have bid on (or committed to “buy now”). In addition, note that there are risks of dealing with foreign nationals, underage persons or people acting under false pretence.  Do not assume that the offer, sale, purchase, export or import of any item is valid, safe or legal simply because it is listed on one of our websites.  All responsibility is held by the member (user) to act legally and lawfully.

There is no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between Ready Steady Sell Ltd and any user of the our  service.

You give us a non-exclusive, worldwide, royalty-free, irrevocable rights to exercise all copyright, publicity, trade marks, database and intellectual property rights you have in the content, in any existing or future media, known or unknown, over your content data, the material and all content displayed for anything that you post, upload or give to us, for use by us in any way whatsoever.  In addition, you waive all moral rights you have in the content to the fullest extent permitted by law.

You agree that we shall not be responsible or liable to any user, third party or anyone, for the statements or conduct of any user, third party or anyone using the website or service in any way whatsoever.

No warranty of any kind, implied, expressed or statutory, including but not limited to the warranties of non-infringement – infringement of third party rights, title, merchantability, fitness for a particular purpose and freedom from computer virus, is given with respect to the contents of our website.  We make no warranty that the service will meet your requirements, or that the service will be uninterrupted, timely, secure, or entirely error free. We do not make any warranty as to the results that may be obtained from the use of the service or as to the accuracy or reliability of any information provided by sellers or buyers and obtained through the service. To the fullest extent permissible by law we will not be liable to you or any third party in contract, tort or otherwise for any loss or damage, indirect or consequential, including but not limited to a loss of data, profits, revenue, business, opportunity, goodwill, reputation or business interruption, howsoever caused (whether arising out of any negligence or breach of this agreement or otherwise), even if that loss or damage was foreseeable by, or the possibility of it was brought to our attention.

Although we use techniques that aim to verify the accuracy and truth of the information provided by our users, user verification on the internet is difficult. We can not and do not confirm, and are not responsible for ensuring the accuracy or truthfulness of users' purported identities or the validity of the information which they provide to us or post on our sites.

We reserve the right to provide counterparties with information pertaining to a complaint or statement, written or oral, made against them by you or a third party acting with or without your consent. Because we do not and cannot be involved in user-to-user dealings, in the event that you have a dispute with one or more users, you release us from claims, demands and damages (actual and consequential) of every kind and nature, know and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

No advice or information, whether oral, written or in electronic format, obtained by members (users) from us or through or from the website or services provided shall create any warranty not expressly stated herein.

You acknowledge and agree that the use of the website and any reliance on material found on this website is at your sole risk. The website and all services are provided on an "as is" and an "as available" basis. 

You may be offered a number of automatic links to other websites which may interest you. We accept no responsibility for or liability in respect of the content of those websites. The use of any automatic links to these websites is entirely at your own risk.

We assume no liability for the content of the listings. You must reimburse us for all losses, costs or expenses which we suffer if someone else makes a claim against us as consequence of the use of the service by you or by someone else from your computer.

Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of this agreement.

If we are found to be liable, our liability to you or to any third party is limited to the greater of (a) the total fees you paid to us in the 12 months prior to the action giving rise to the liability, and (b) £100.

We shall not be responsible for any items sold, for any damage to items during transit or during the inspection period, nor for misrepresentations and/or breaches of contract by either buyer and/or seller. We shall not be responsible for the cost of procurement of substitute goods or any losses resulting from any goods purchased or obtained.

If a member (user) is seen to have broken these terms and conditions, without limiting other remedies, we may issue you with warnings, limit, suspend, or terminate any auction, any user account, or use of our service or our website, restrict or prohibit access to, and your activities on, the sites, delay or remove hosted content, and take technical and legal steps to keep you off our website without notice. It is at our discretion if these actions will be reversed and whether or not any accounts will be re-opened. An offence can result in a permanent ban being placed on the offending account and/or IP address.

If either you or we suspend or terminate your membership, you will continue to owe us any money which you owed to us before the suspension and/or termination.

We reserve the right to modify or discontinue the service if there is a change in the law or our operational requirements. We will not be liable to you for any loss you may suffer if we have to modify or cease the service for reasons beyond our control if we give you at least 30 days notice. In certain exceptional circumstances beyond our control we may have to change or discontinue the service without giving you this amount of notice. If this is the case we will give you as much notice as we can.

We reserve the right to amend these terms and conditions.  If we do this we will we give you at least 30 days notice.  If you do not wish to adhere to the new terms and conditions or use the new operating rules or policies you should not continue to use the website or any of its services after the notice requirement.

We may at times send, via your registered email address, offers of goods and services. There is no obligation to purchase or enter into an agreement to purchase the offer. We reserve the right to make the offers of goods or services available to its members. By joining (registering as a member of) readysteadyautos.co.uk you agree to this action.

You agree not to hold us responsible for any loss you may incur as a result of us taking any of the actions described above.

These terms and conditions shall be governed by and constructed in accordance with the laws of England and Wales and any disputes will be decided only by the Courts of England and Wales.  If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Acceptance of these terms and conditions as an individual or on behalf of an organization is classed as an electronic signature and legally binds the user to all the terms and conditions of trading on readysteadyautos.co.uk. This includes responsibility for paying fees incurred as outlined in these terms and conditions.

Rights to Terminate

You agree that we, in our sole discretion, may suspend and terminate any auction, any user account or use of the service immediately and without notice if (a) we believe that you have not complied with the spirit or the letter of these terms and conditions or, (b) if we believe you have violated or tried to violate the rights of other users or, (c) if we believe you have submitted any material that deems not to comply or to be objectionable for any reason or, (d)  if we believe that you have tried to manipulate or abuse the reputation, review or ratings systems or, (e) If your contact details are found to be false.

We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for a long time.

If either you or we suspend or terminate your membership, you will continue to owe us any money which you owed to us before the suspension and/or termination.

Reporting Abuse

We encourage you to report anything that you deem to be an abuse of the site to us via the “Report Abuse to Admin“ form, which can be found in the Abuse Report section, under “My Account” in the “Members Area”.  Or you can email us at Abuse@ReadySteadyAutos.co.uk.

Resolution of disputes

In the event that a dispute arises between you and us, it must be reported to us in the first instance at Disputes@ReadySteadyAutos.co.uk where it will receive the correct attention.

Any disputes that occur between you and any other party must be dealt with between the involved parties and if necessary you should report any such disputes to your local law enforcement agency.  As previously mentioned readysteadyautos.co.uk is simply a venue (an online market place providing advertising space on web pages on a computer network) and does not get involved in its user or any other party disputes. 

Disagreement with these Terms and conditions

If you disagree with any part of these terms and conditions or any of the policies or guidelines described throughout the site please do not register or use our website or services.
